AmerenIP is offering to purchase for cash any and all of its outstanding Bonds that were not redeemed on Nov. 15, 2004 ($357,500,000 remaining aggregate principal amount) for a purchase price of $1,214.20 per $1,000 principal amount of Bonds plus accrued and unpaid interest on the Bonds to the settlement date. The purchase price for each $1,000 principal amount of Bonds was calculated using the formula set forth in the Offer to Purchase. The reference yield (on the reference security), which is a component of the formula for determining the tender offer consideration, is 2.861%. Subject to AmerenIP's right to extend or terminate the tender offer, the tender offer is scheduled to expire at 5:00 p.m., New York City time, on Monday, Nov. 22, 2004, and settle on Wednesday, Nov. 24, 2004. The tender offer is not conditioned on any minimum number of Bonds being tendered. The tender offer is, however, subject to other conditions discussed in the Offer to Purchase.
