The tender offer and consent solicitation were made pursuant to an offer to purchase dated September 3, 2008 and a related letter of transmittal and consent. None of the 2029 notes were purchased in the tender offer and consent solicitation, and all 2029 notes previously tendered and not withdrawn will be promptly returned to their respective tendering holders. CILCORP Inc.'s cash tender offer and related consent solicitation for any and all of its outstanding 8.700% senior notes due 2009 (CUSIP No. 171794 AE0) was previously terminated on April 30, 2009.
